On July 31, MicroStrategy (MSTR) published explicit forward guidance, “We will not issue MSTR below 2.5x mNAV except to pay interest and dividends.” Fast forward to this morning, and founder Michael Saylor has modified that guidance entirely, allowing dilution of MicroStrategy shareholders “when otherwise deemed advantageous to the company.” That remarkable about-face leaned heavily on the boilerplate disclaimer in its Q2 earnings that states, “Actual results may differ materially from these forward-looking statements.” MicroStrategy is the world’s largest bitcoin treasury company, holding $73 billion worth of BTC. MetaPlanet has outperformed MicroStrategy by 317% this year

Japanese MicroStrategy rival MetaPlanet has outperformed Michael Saylor’s bitcoin (BTC) acquisition company by 317% year-to-date. Since January 1, 2025, MicroStrategy has rallied 27% while MetaPlanet has surged 430%. Assuming an equal $1,000 investment in both companies at the start of the year, the MetaPlanet position would be 317% larger today: $5,300 versus the $1,270 MicroStrategy position. Although both companies have announced plans to pay dividends to preferred shareholders, neither pays them to common shareholders. Comparing performance based on stock prices alone is, therefore, appropriate. Year to date, MicroStrategy has increased its BTC holdings 33% from 446,400 to today’s 592,100. As bitcoin (BTC) surpassed $100,000 and hit an all-time high on December 4, many MicroStrategy (MSTR) investors were hoping for their bags to levitate. Unfortunately, their shares — along with those of the company’s CEO Michael Saylor — dipped considerably the following morning. MicroStrategy is a BTC acquisition company that is primarily valued on a multiple of its BTC holdings. Its shares trade independently of BTC in the market based on sentiment, supply, and demand. MSTR closed at $406 on Wednesday but fell another 4.8% by Thursday. That close logged an embarrassing 28% retracement from the company’s $543 all-time high on the same day that BTC achieved its own peak. Despite widespread acknowledgment that MicroStrategy has issued a tremendous amount of debt to acquire most of its bitcoin, some star-struck novices believe that billionaire CEO Michael Saylor has no liquidation risk on this debt. Although the nuances of the term ‘liquidation’ are important, there are people who honestly believe that MicroStrategy cannot default on its debt no matter how low the price of bitcoin goes. That is not true. There is no free lunch on Wall Street. Lenders to MicroStrategy do have a risk of default. Specifically, they are loaning USD to MicroStrategy and expect USD or USD-equivalent repayment. Even lenders in recent series who waived all interest payments expect to receive their principal back at maturity.
